# DClip license agreement Copyright © 2026 John Andrew Cook. All rights reserved. The licensor is John Andrew Cook, using the JAC Audio brand ("we", "us"). This agreement covers the DClip plugin, its documentation and updates ("the software"). "You" means the designated individual licensed to use DClip, or the individual evaluating it during a trial. JAC Audio is the brand used by the licensor, not a separate party to this agreement. Read these terms before installing or using DClip. If you do not agree, do not install or use it; if you have paid, contact support about the refund and other rights described below. Nothing in this agreement removes consumer protections or other rights that applicable law does not allow you to waive, or the third-party rights described in section 7. ## 1. Trial You may evaluate the complete software free for 30 days. The trial starts when a host first loads DClip on your user account, which may happen during a plug-in scan. It is checked when a host loads DClip; if it expires during an open session, processing continues until the next load. After expiry, DClip passes audio through without processing until a valid license is entered. Reinstalling does not restart the trial. You may not extend or reset it by evading its checks, except where applicable law permits conduct that this agreement cannot restrict. ## 2. License When a license is purchased, we grant the designated individual a perpetual, non-exclusive license to use DClip 1.x. Perpetual means there is no subscription or time limit on that licensed use, subject to the refund and termination provisions below. - **One individual**: the license is for the designated person identified in the license text, even if someone else or a business pays. It is not a shared studio, household, company or team license. Anyone buying for another person must contact [dclip.support@gmail.com](mailto:dclip.support@gmail.com) before purchase. We handle these purchases manually, confirming the designated individual and that individual's acceptance of the identified terms before issuing the license. Do not assume the checkout can name a different licensed user. - **Computers**: that person may install and use DClip on computers they own or control, with no fixed device limit and no one-computer-at-a-time restriction. Owning or controlling a computer does not authorize other people to use that person's license. - **Copies**: you may make reasonable installation and backup copies for your permitted use. These copies do not create additional users' licenses. - **Versions**: the license covers every released DClip 1.x version. A later major version may require a separate purchase. A perpetual license is not a promise of perpetual support or compatibility with every future operating system or host. The software is licensed, not sold to you as intellectual property. Your license text and its key are credentials for your use alone. Activation is checked locally and offline; it does not count devices or require an online activation check. You may not resell or transfer your license without prior written permission from John Andrew Cook as licensor, except where applicable law grants rights that these terms cannot restrict. Contact [dclip.support@gmail.com](mailto:dclip.support@gmail.com) to request permission. We handle requests manually: before approval, we confirm the individuals' identities, the recipient's acceptance of the identified terms, permitted credential handling and the original user's written confirmation that their use will end. Permission is not promised. No fee, transfer portal or ability to remotely revoke an issued license is promised. An approved transfer must follow the licensor's specific written instructions; it does not authorize public sharing, public redistribution or continued shared use of a single license. ## 3. Your audio and commercial work During a valid trial or while licensed, you may use DClip for personal and commercial audio production, including composing, recording, mixing, mastering, sound design and paid client work. You may sell, publish, distribute or deliver the resulting music, stems and other processed audio. Neither John Andrew Cook nor the JAC Audio brand claims ownership, royalties or an attribution requirement merely because DClip processed that audio. You remain responsible for having the rights needed for your source material and how you use and distribute it. This agreement does not grant rights in someone else's music, recordings, samples or other material. Permission to distribute rendered audio does not include permission to distribute DClip or your license credentials. A client can receive your rendered work without receiving your plugin or license. ## 4. Software and credential restrictions Subject to rights that applicable law does not allow this agreement to restrict, and to the applicable third-party licenses in section 7, you may not: - share license credentials or provide the plugin to unlicensed users; - sublicense, rent, lend or redistribute the plugin or modified copies, beyond the installation and backup copies allowed for your own permitted use; - remove copyright or license notices from the software; - reverse engineer, decompile, disassemble or circumvent the software's protection, trial or license checks, but only to the extent such restrictions are legally permitted. These restrictions do not override non-waivable statutory rights or rights granted by the licenses of third-party components. They do not restrict the rendered audio use expressly allowed in section 3. The credential-sharing and redistribution restrictions also allow only those transfer-related actions specifically authorized in writing under section 2; all other restrictions remain applicable. ## 5. Updates and support - **Updates**: any DClip 1.x updates we release are free for license holders. We do not promise a fixed number, schedule or duration of future updates. A future major version may require a new license or paid upgrade. - **Support**: email [dclip.support@gmail.com](mailto:dclip.support@gmail.com). We aim to reply within three business days. This is a response target, not a guaranteed response or resolution time. The license does not promise support forever. Nothing here reduces support, remedies or updates that mandatory applicable law requires. ## 6. Refunds Our 14-day full-refund guarantee, with no questions asked, covers direct purchases, including purchases through JAC Audio's official Lemon Squeezy checkout. Lemon Squeezy is the merchant of record for that checkout: it is the seller of record and handles the payment and refund transaction. John Andrew Cook remains the software licensor. Using that official checkout does not exclude a purchase from this guarantee. Email [dclip.support@gmail.com](mailto:dclip.support@gmail.com) within 14 days of purchase with your order number to request a full refund. We do not promise a particular time for the refund to appear on a bank or payment account. Purchases from independent resellers follow their refund policies. Nothing here replaces or limits mandatory consumer rights, including any longer or different refund or withdrawal right, or additional rights available through the merchant of record. After a full refund, permission to use the refunded license ends. You must stop using DClip under it and remove those installations and license credentials, subject to any rights or retention duties required by law. This is a contractual obligation, not a claim that an offline installation or issued license is remotely disabled. You may keep and use audio lawfully created with DClip. ## 7. Third-party components The software includes open-source components and fonts. They're used under their own licenses, reproduced in [THIRD_PARTY_NOTICES.md](THIRD_PARTY_NOTICES.md). Those licenses govern those components and control wherever this agreement would conflict with their permissions or requirements. Nothing here removes your rights under those licenses or under law that cannot be overridden by contract. VST is a registered trademark of Steinberg Media Technologies GmbH. ## 8. Warranty Nothing in this agreement excludes or limits mandatory warranties, consumer remedies, or other rights that applicable law does not allow us to exclude or limit. This agreement does not negate our binding express promises or reduce the 14-day full-refund guarantee. That guarantee is not your sole remedy or a deadline for other claims. FOR NON-CONSUMER CONTRACTS ONLY, WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE TO THE EXTENT THE LAW PERMITS. THIS DISCLAIMER DOES NOT APPLY TO CONSUMER CONTRACTS, MANDATORY WARRANTIES OR OUR BINDING EXPRESS PROMISES. Keep backups of your projects and audio. ## 9. Liability For a paid license under a non-consumer contract, our total liability for breach of this agreement arising from that license is limited to the license price paid before refunds. This cap does not apply to trials or consumer contracts, fraud, intentional misconduct, gross negligence, personal injury, breach of binding express warranties, or liabilities or remedies that applicable law does not allow us to limit. It does not reduce the full-refund guarantee. For non-consumer contracts only, we exclude liability for lost profit or revenue only to the extent that loss is consequential rather than direct. This exclusion does not apply to fraud, intentional misconduct, gross negligence, personal injury, breach of binding express warranties, or liabilities or remedies that applicable law does not allow us to exclude. It does not reduce the full-refund guarantee. ## 10. Termination We may terminate permission to use DClip for a material breach of this agreement, subject to applicable law. Termination is not automatic for any breach. We will provide written notice identifying the material breach and explaining what correction is reasonably required, with a reasonable opportunity to correct a breach that can be corrected. You have 30 calendar days from receipt of that notice, with reasonable additional time when correction reasonably requires it and you are diligently working to correct the breach, and any longer period required by law. If the breach is corrected within the applicable period, we will not terminate for that breach. If it remains uncorrected, we may give written notice of termination stating its reason and effective date, subject to legally required protections. Intentional unauthorized distribution of the plugin or license credentials that amounts to a material breach may be addressed by written termination notice without the ordinary cure period, but only where legally permitted. The notice must identify the conduct, explain why this exception applies, and state the reason and effective date of termination. Any legally required notice, correction opportunity or other protection still applies. An accidental disclosure that can reasonably be corrected is handled through the ordinary correction process. We send breach and termination notices from dclip.support@gmail.com to an email address you provided for license or support correspondence. Receipt means your acknowledgment or other reliable evidence of actual receipt; sending an email or receiving an automated delivery status alone does not establish receipt. If receipt cannot be established, we will arrange a confirmed written-notice method permitted by applicable law before treating a correction period as started or termination notice as received. After a valid termination, you must stop using DClip under that license and remove the installations and license credentials you are no longer entitled to use, except for copies or records that law requires or permits you to retain. A full refund has the effect described in section 6. Ending permission to use DClip does not technically disable an offline installation. It does not require deletion of lawfully created audio or cancel section 3's permissions for that audio. Mandatory rights and remedies remain available. ## 11. Governing law The chosen governing law is the law of Maryland, United States, subject to applicable federal law and mandatory protections that apply to you and cannot be displaced by a choice-of-law clause, including applicable protections where you live. Nothing in this clause limits those protections. This agreement does not require arbitration, waive participation in a class action, or choose an exclusive court or venue.
